![Operating partner presenting a wall screen titled The Four Deal Moments, the framework for controlling cloud spend across a private equity portfolio](https://ontracsolutions.net/hubfs/AI-Generated%20Media/Images/finops-pe-four-deal-moments-featured-2to1.jpg)

FinOps · Private Equity · Portfolio Operations

Cloud spend rarely shows up in a portfolio review as its own line. It sits inside each company's operating expenses, under a different label in every chart of accounts, owned by whoever signed the original contract. At the fund level it is invisible, which is a strange place for a cost that can grow every month without anyone approving the increase.

Inside one company, the answer is a [FinOps](https://ontracsolutions.net/finops) practice: make the spend visible, give every dollar an owner, change the defaults and measure unit cost. We wrote that playbook in [FinOps in 2026: How to Cut Cloud Costs Without Slowing Engineering](https://ontracsolutions.net/en/news/finops-cut-cloud-costs-without-slowing-engineering). A portfolio is a different problem. The operating partner does not run anyone's cloud account, cannot ask ten engineering teams to adopt one tool, and still has to answer for the margin.

The useful frame is the deal cycle itself. **Cloud spend asks a different question at each moment of the hold: in diligence, in the first 100 days, during the hold and at exit.** Answer the right question at the right moment and the work stays light. We call it the Four Deal Moments.

Quick Answer

How should a private equity firm control cloud spend across its portfolio?

Treat it by deal moment, not by company. In diligence, decide whether cloud spend is a liability or a lever. In the first 100 days, baseline it and name an owner before cutting anything. During the hold, report one cloud line and one unit cost per company on a common definition, and decide commitment discounts company by company. At exit, hand a buyer a cost story they can check. Each company runs its own FinOps; the fund sets the definitions and reads the results.

The Problem

## Why Cloud Spend Hides in a Portfolio

Three things keep cloud cost out of sight at the fund level, and none of them is a technology problem.

**It is booked differently everywhere.** One company puts hosting in cost of revenue, another in research and development, a third splits it across departments. Nobody is wrong, but the numbers cannot be compared, so nobody compares them.

**It grows without a decision.** Most costs in a portfolio company pass through a budget or an approval. Cloud consumption does not: a new environment, a forgotten test cluster or a usage spike all add to the bill on their own. By the time it reaches a board pack, it is history.

**Nobody owns it across companies.** The CTO owns the platform, the CFO owns the budget, and the operating partner owns the value-creation plan. Cloud spend touches all three and sits squarely in none, which is why it usually surfaces only when a margin target slips.

The Framework

## The Four Deal Moments

Each moment has one question, a short list of things to ask for, and a red flag that tells you the question has not really been answered.

| Moment | The question | What done looks like |
| --- | --- | --- |
| 1. Diligence | Is cloud spend a liability or a lever? | Twelve months of bills, the commitments in force, and a view of what the spend is buying |
| 2. First 100 days | What is the baseline, and who owns it? | A monthly cloud line on a common definition, and a named owner in each company |
| 3. The hold | Is each company getting more for what it spends? | One unit cost per company, reported in the same pack as revenue and margin |
| 4. Exit | Can a buyer check the cost story? | A clean history of spend against growth, and commitments a buyer can see and price |

### Moment 1: Diligence — liability or lever?

At diligence, the goal is not to find savings. It is to know whether the cloud bill is a risk you are buying or an upside you can price. Ask for twelve months of bills from each provider, every commitment the company has signed and when it ends, and a short explanation from the engineering lead of what the largest cost lines actually run.

Then ask the question that separates the two: does spend move with the business? A bill that grows in step with customers or usage is a cost of serving them. A bill that grows on its own, or that nobody can explain line by line, is either waste you can remove or a platform problem you will have to fund.

**Red flag:** nobody inside the company can say which product, customer or team the largest cost lines belong to.

### Moment 2: First 100 days — baseline and owners before cuts

The first 100 days are when cost programs do the most damage. A new sponsor asks for savings, someone switches off what looks unused, and a customer-facing system goes down. The better order is the reverse: baseline first, then owners, then cuts.

Baseline means a monthly cloud figure on a definition every company in the portfolio uses: what counts as cloud (hosting, data, software bought through a cloud marketplace, AI usage), which line it is booked to in the reporting pack, and which month it belongs to. Owners means one named person in each company who can explain a change in that number. Neither needs a new tool. Both need the CFO and the technology lead in the same room once.

Only then does each company install its own practice, the [four guardrails of visibility, ownership, defaults and feedback](https://ontracsolutions.net/en/news/finops-cut-cloud-costs-without-slowing-engineering), at a pace its delivery plan can absorb. **Red flag:** a savings target set before anyone knows the baseline.

### Moment 3: The hold — one view, one unit cost per company

During the hold, the fund needs two numbers per company, reported monthly beside revenue and margin: the cloud line from Moment 2, and one unit cost. The unit is chosen per business, because businesses differ: cost per customer for a software company, per transaction for a payments business, per order for e-commerce. What must be common is the method, not the unit. Define it once, in writing, the same way you [standardize KPIs across portfolio companies](https://ontracsolutions.net/en/news/how-to-standardize-kpis-across-portfolio-companies), and put it in the same reporting layer your [portfolio standardization](https://ontracsolutions.net/hubspot-for-pe) already feeds.

A rising cloud line with a falling unit cost is a company growing efficiently. A rising unit cost is the conversation to have, whatever the total does. AI usage deserves its own line once it is material, because it behaves differently from the rest of the bill; the [four dials of AI spend](https://ontracsolutions.net/en/news/finops-ai-workloads-inference-cost) explain why.

Commitment discounts belong here too, decided company by company. A commitment buys a lower price in exchange for a promise to spend, and it is only a saving if the company will really use what it promised to buy. Some sponsors ask whether portfolio companies can buy together. Whether that is possible depends on each provider's terms and each company's existing contracts, so treat it as a question to put to the providers, not an assumption in the value-creation plan. **Red flag:** commitments reported as savings on the day they are signed.

### Moment 4: Exit — a cost story a buyer can check

A buyer's diligence will ask the Moment 1 questions of you. The company that can answer them quickly, with a monthly history of cloud spend against growth, a unit cost that has moved in the right direction, and a register of every commitment with its end date, gives the buyer one less thing to discount.

The cost story only holds if it was kept during the hold. It cannot be rebuilt in the quarter before a sale, because the history is what makes it believable. **Red flag:** commitments that run well past the expected exit, with nobody able to say why they were signed.

Free Worksheet

The Portfolio Cloud Spend Baseline

This article explains the four moments. The worksheet is where you run them across your own portfolio: a baseline sheet per company with the common cloud definition, an owner map, the unit-cost definition page, a commitments register with end dates, and the questions for each deal moment with room to write down the answer and who gave it.

At the Fund Level

## A Portfolio View Without a Central FinOps Team

The instinct at fund level is to centralize: one tool, one team, one savings program across every company. It rarely survives contact with the portfolio. Companies run different clouds, different architectures and different stages of growth, and a central team becomes a bottleneck that every engineering lead learns to route around.

What the fund should own is smaller and more durable:

- **The definitions.** What counts as cloud spend, where it is booked in the reporting pack, and how each unit cost is calculated.
- **The cadence.** Two numbers per company, every month, in the pack the board already reads.
- **The owner list.** One named person per company, kept current through leadership changes.
- **The commitments register.** Every commitment across the portfolio with its value and end date, reviewed before anything new is signed.

Everything else, from tools to tagging to the engineering changes that lower the bill, stays with each company. The fund reads the results and asks the question when a unit cost moves the wrong way. That division keeps the work light enough to last a whole hold period, which is the only timescale on which it pays off. The discipline itself is well documented by the [FinOps Foundation framework](https://www.finops.org/framework/); the portfolio layer is what you add on top.

What Goes Wrong

## Three Mistakes That Waste the Lever

Cutting before baselining

A savings number announced in the first month gets met by switching things off. Without a baseline and an owner, nobody can tell which savings are real, which will come back next quarter, and which broke something a customer depends on.

Forcing one tool on every company

A portfolio-wide tool mandate spends the first months on rollout instead of results, and it fits the companies whose stack resembles the tool's assumptions. Common definitions travel across stacks; common tools often do not.

Treating the total as the target

A falling cloud total can mean a company is shrinking. A rising one can mean it is winning. Judge each company on its unit cost, and treat the total as context.

The Honest Part

## When Not to Run This Across the Portfolio

Not every company needs the full treatment. If cloud spend is a small share of a company's costs and stable, the Moment 2 baseline and an owner are enough; the rest is overhead. If a company is in the middle of a migration, its bill will look wrong for a while for good reasons, so baseline it after the move settles and use the [four-wave migration roadmap](https://ontracsolutions.net/en/news/cloud-migration-mid-market-roadmap) to plan the move itself. And if the portfolio has only one or two companies with material cloud spend, run FinOps in those companies and skip the fund layer altogether.

For transparency: Ontrac sells [FinOps](https://ontracsolutions.net/finops) and [cloud](https://ontracsolutions.net/cloud-solutions) services. The definitions, cadence, owner list and commitments register above do not need us, and most operating teams can run them with the worksheet alone.

Where Ontrac Comes In

We set up the baseline across your portfolio, and leave each company running its own.

Our [FinOps team](https://ontracsolutions.net/finops) works with operating partners and portfolio CFOs to agree the definitions, collect the first baseline, name the owners and put the two numbers into the reporting pack you already use. Then each company runs its own practice, with help where its team wants it.

FAQ

## Frequently Asked Questions

What is FinOps for private equity?

It is FinOps applied across a portfolio rather than inside one company. Each portfolio company runs its own practice to make cloud spend visible, owned and efficient, while the fund sets common definitions, collects a monthly cloud figure and one unit cost per company, and reads them alongside revenue and margin at each moment of the hold.

What should cloud cost due diligence cover?

Twelve months of bills from each provider, every commitment in force with its end date, and an explanation from the engineering lead of what the largest cost lines run. The question to answer is whether spend moves with the business. Spend that grows with customers or usage is a cost of serving them; spend that grows on its own is waste to remove or a platform problem to fund.

Should every portfolio company use the same cloud cost tool?

Usually not. Companies run different clouds and architectures, and a tool mandate spends months on rollout before it shows results. Standardize the definitions, the monthly cadence and the owner list instead, and let each company pick the tooling that fits its stack.

Do cloud commitment discounts help or hurt at exit?

It depends on whether the company uses what it committed to. Commitment discounts, such as reserved capacity, savings plans or committed-use discounts, lower the price in return for a promise to spend. A buyer will look at what remains to be spent and when it ends, so keep a register of every commitment and its end date, and decide each one against the company's own usage and hold plan.
